Terms of Service

Welcome to JoyWorksVA ("we," "us," "our"). These Terms of Service ("Terms") govern your use of our website at joyworksva.com and any services provided by JoyWorksVA. By using our website, submitting an inquiry, or engaging our services, you ("client," "you") agree to these Terms.

Services

JoyWorksVA provides virtual operational support services, including but not limited to website setup and design, branding and digital presence support, backend organization, administrative systems, workflow setup, and related operational support services. The specific services, deliverables, and scope for each project are outlined in an individual proposal, quote, or service agreement.

Any services not explicitly included in a proposal or agreement are considered outside the project scope and may require an additional quote.

Client Responsibilities

To allow JoyWorksVA to complete projects efficiently and on schedule, clients agree to:

  • Provide accurate, complete, and timely information, content, materials, and access (e.g., logins, files, accounts) needed to complete the project.

  • Respond to requests for feedback, approvals, or materials within a reasonable timeframe.

  • Review deliverables and provide feedback during the agreed revision period.

  • Use deliverables in accordance with the scope outlined in their service agreement.

Delays caused by the client's failure to meet these responsibilities may result in delayed timelines, paused work, or additional fees, and are not the responsibility of JoyWorksVA.

Payments

All payment terms are governed by our Payment Policy, available at Payment Terms, which is incorporated into these Terms by reference.

Project Timelines

Timelines provided are estimates based on the information, materials, and feedback provided by the client in a timely manner. JoyWorksVA is not responsible for delays caused by:

  • Late or incomplete client communication, materials, approvals, or feedback.

  • Third-party platforms, tools, hosting providers, or services outside our control.

  • Circumstances outside JoyWorksVA's reasonable control.

Revisions

Each service includes a set number of revisions as outlined in the relevant proposal or agreement. Additional revisions beyond what is included may be billed separately at our discretion.

Intellectual Property

Upon receipt of full payment, the client receives the rights to use the final deliverables for their intended business purpose, as outlined in the applicable service agreement.

Until full payment is received, all work, drafts, and deliverables remain the property of JoyWorksVA and may not be used, published, or distributed by the client.

JoyWorksVA retains the right to display completed work in our portfolio, website, or marketing materials, unless the client requests confidentiality in writing and JoyWorksVA agrees to this request.

Confidentiality

JoyWorksVA may have access to sensitive client information (business data, accounts, login credentials, financial information, etc.) in the course of providing services. We agree to handle this information with reasonable care and not disclose it to unrelated third parties, except as required to perform the services or as required by law.

Limitation of Liability

Services are provided on an "as-is" and "as-available" basis. JoyWorksVA makes no guarantees regarding specific business outcomes, revenue, growth, rankings, or results, as these depend on factors outside our control.

To the fullest extent permitted by law, JoyWorksVA shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from the use of our services, website, or deliverables.

JoyWorksVA's total liability for any claim related to our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

Third-Party Tools & Platforms

Projects may involve third-party platforms, tools, hosting providers, or services (e.g., website builders, scheduling tools, payment processors). JoyWorksVA is not responsible for the performance, downtime, policy changes, pricing changes, or discontinuation of any third-party platform or tool.

Termination

Either party may terminate a service agreement according to the terms outlined in the individual proposal or agreement. If a project is terminated after work has begun, payment for work completed up to that point remains due, in accordance with our Payment Policy.

Indemnification

The client agrees to indemnify and hold JoyWorksVA harmless from any claims, damages, losses, or expenses arising from the client's use of deliverables, violation of these Terms, or violation of any law or third-party rights.

Governing Law

These Terms are governed by the laws of North Carolina, USA without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of North Carolina.

Changes to These Terms

JoyWorksVA reserves the right to update these Terms at any time. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
